Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, products, and services provided by YadriWorks ("we," "us," or "our"), including SentryWorks and EthicalZen. By accessing or using our services, you agree to be bound by these Terms.

1. Services

YadriWorks provides AI governance products:

• SentryWorks — AI policy analysis platform that identifies applicable regulations and recommends guardrails for AI use cases
• EthicalZen — Runtime guardrail enforcement platform that evaluates AI inputs and outputs against configurable safety contracts

Our services provide AI governance analysis and recommendations. They do not constitute legal advice. Consult qualified legal counsel for compliance decisions.

2. Account Registration

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized access to your account
• You may not share account credentials or API keys with unauthorized parties
• One account per individual or entity unless authorized in writing

3. Acceptable Use

You agree not to:

• Use our services for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of our services
• Reverse engineer, decompile, or disassemble any aspect of our services
• Use our services to develop a competing product or service
• Submit false, misleading, or malicious content to our analysis engines
• Exceed rate limits or use automated tools to abuse our APIs
• Resell or redistribute our services without written authorization

4. Intellectual Property

All content, features, and functionality of our services — including software, text, graphics, logos, and documentation — are owned by YadriWorks and protected by intellectual property laws.

• We grant you a limited, non-exclusive, non-transferable license to use our services in accordance with these Terms
• You retain ownership of data and content you submit to our services
• Policy analysis results and guardrail configurations generated for your account are yours to use
• Our underlying models, algorithms, and knowledge bases remain our intellectual property

5. Pricing and Custom Deployments

Pricing is based on the scope and configuration of the engagement. Enterprise clients requiring custom deployments, dedicated infrastructure, or specific service configurations must contact contact@yadriworks.ai for a pricing estimate. Pricing changes require 30 days' prior written notice.

6. Data Processing

• We process data you submit solely to provide and improve our services
• AI use case descriptions submitted for policy analysis are processed by our AI models and sent to third-party LLM providers under signed data processing agreements
• We do not use your data to train AI models without your explicit consent
• Data handling is further described in our Privacy Policy

7. Service Availability and SLA

Uptime commitments, response times, incident escalation, and remedies for outages are defined in the Enterprise Service Agreement signed with each client. These terms are specific to the deployment and regulatory context of each engagement.

Without a signed Enterprise Service Agreement, services run on a best-efforts basis. Planned maintenance windows will be communicated in advance. Contact contact@yadriworks.ai for enterprise SLA terms.

8. Limitation of Liability

• Services are provided "as is" without warranties of any kind, express or implied
• Policy analysis output is informational, not a guarantee of regulatory completeness or jurisdictional accuracy
• YadriWorks is not liable for indirect, incidental, special, consequential, or punitive damages
• Total liability is capped at the fees you paid in the 12 months preceding the claim
• You bear full responsibility for compliance decisions made using our analysis

9. Indemnification

You agree to indemnify and hold harmless YadriWorks, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

10. Termination

• Enterprise contracts require 90 days' written notice to terminate, unless a different notice period is specified in the applicable Enterprise Service Agreement
• We will suspend or terminate your access if you violate these Terms
• On termination, your access to all services stops at the end of the notice period
• Your data will be available for export for 30 days after termination
• Sections 4 (Intellectual Property), 8 (Limitation of Liability), 9 (Indemnification), and 11 (Governing Law) survive termination

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

12. Changes to These Terms

We will post updated Terms on this page when changes occur. For changes that affect your rights or obligations, we will notify you by email at least 30 days before they take effect. Using our services after the effective date means you accept the updated Terms.
